Terms of Service
CleanCloser LLC | cleancloser.com
Effective date: October 3, 2026
1 About these Terms
These Terms of Service govern your use of cleancloser.com and the business listing and promotional services operated by CleanCloser LLC, a Wyoming limited liability company doing business under the public brand CleanCloser ("CleanCloser," "we," "us," or "our"). The website and these services are the "Platform." A business listed on the Platform is a "Provider."
By accepting these Terms when creating an account or purchasing a subscription, you agree to them. Your access to the Platform is subject to these Terms. If you act for a business, you represent that you have authority to bind that business. You must be at least 18 and legally able to enter into this agreement to create an account or purchase a subscription. Our Privacy Policy explains how we handle personal information. Our Billing, Cancellation & Refund Policy forms part of these Terms and controls in the event of a conflict about billing, cancellation, or refunds.
2 What CleanCloser provides
CleanCloser is an online directory and advertising platform that helps people discover independent local service businesses. The initial service market is Florida. Visitors may browse listings and contact Providers directly using their published phone number or website. Browsing is free. Providers may maintain free listings and purchase an optional Featured subscription.
CleanCloser does not perform the services advertised by Providers, employ or manage their workers, set their service prices, or act as a party to their customer contracts. We do not collect payments for a Provider's work, arrange service bookings, or provide an internal messenger or service request form. Any agreement for work, payment, cancellation, or a dispute about that work is directly between the customer and the Provider.
3 Accounts and authority
Provide accurate information, keep it current, protect your account credentials, and notify support@cleancloser.com if you suspect unauthorized access. You may only create or control a listing for a business you are authorized to represent. Do not impersonate another business or claim its listing without permission.
We may request verification through an established business email address, business phone number, or appropriate supporting business records. We may review conflicting claims manually and withhold account or listing changes while a claim is unresolved.
4 Listings and ownership claims
We may create unclaimed listings from publicly available business information. An unclaimed listing does not mean the business has registered, approved the listing, or endorsed CleanCloser. Information may be incomplete or outdated.
An authorized business representative may request to claim, correct, or remove a listing by contacting support@cleancloser.com. We verify authority before transferring control or processing an ownership-based removal request. A claimed listing indicates control by an authorized representative; it is not a certification of service quality or professional qualifications.
Listings may display a business name, city, state, service area, business phone number, website, categories, and authorized listing content. Business street addresses are not displayed. Free listings may cover multiple cities where the Provider actually offers services. We may correct, reject, restrict, or remove inaccurate, unlawful, misleading, duplicate, or unauthorized listing information.
5 Provider responsibilities
Providers are independent businesses and are responsible for the accuracy of their listings, their services and workers, customer communications, prices, taxes, and all applicable licenses, permits, registrations, insurance, and other authorizations. Providers must not advertise services they are not legally authorized to offer and must not make unsupported claims about credentials, experience, or results.
CleanCloser does not represent that a Provider is licensed, certified, insured, background checked, or otherwise qualified unless we expressly state that a specific credential has been verified. A claimed listing or Featured label does not make that representation. Customers should independently assess qualifications, request appropriate documentation, and agree on scope and price before hiring.
6 Featured subscriptions and placement
Featured is an optional business advertising subscription priced at US$30 per month, plus applicable taxes disclosed at checkout. Each subscription covers one selected city and one parent service category. A maximum of 10 active Featured subscriptions is available for each city and parent category combination. The listing must be claimed before purchasing Featured, and availability is subject to an open slot.
Featured listings receive priority above free listings in the applicable city and parent category results where the listing matches the user's search or filters. Featured placement will be identified as paid promotion. Payment does not indicate an endorsement or better service quality. We do not promise a particular order among Featured listings, search engine ranking, number of impressions, inquiries, customers, or revenue.
The selected city and parent category remain fixed for the current paid billing period. Changes may take effect at renewal, subject to availability. Providers may update child categories during a billing period if they are accurate and remain within the selected parent category. Billing, automatic renewal, cancellation, and refunds are described in our Billing, Cancellation & Refund Policy.
7 Content and permitted use
You retain ownership of content you submit. You represent that you have the rights needed to provide that content and authorize its publication. You grant CleanCloser a nonexclusive, worldwide, royalty-free license to host, reproduce, format, and display it as needed to operate and promote your listing on the Platform. This license ends when the content is removed, except for reasonable backup, legal retention, and previously distributed copies.
Do not submit unlawful or infringing content, expose another person's private information without authority, misrepresent a business, send spam, upload malicious code, interfere with security, or use automated access in a way that disrupts the Platform or bypasses access restrictions. No user review feature is offered in the initial release.
The Platform's software, design, branding, and original content belong to CleanCloser or its licensors. These Terms do not transfer ownership of those materials. To report an intellectual property concern, email support@cleancloser.com with the material's location, your claim, and contact information.
8 External services and availability
Provider websites and other external services operate under their own terms and privacy practices. We do not control their content, conduct, or availability. The Platform may be interrupted for maintenance, technical problems, or circumstances outside our control. We may change free features or the directory's presentation, but changes that materially affect an existing paid subscription are subject to the Billing, Cancellation & Refund Policy.
9 Suspension and termination
We may suspend or terminate access or remove a listing for nonpayment, unauthorized claims, inaccurate information, violations of these Terms, legal requirements, or a material security or fraud concern. Where practical, we will explain the reason and allow correction; immediate action may be necessary. You may stop using the Platform and cancel your subscription at any time. A request to close an account must also stop future subscription renewals.
Cancellation and any refund on termination are governed by the Billing, Cancellation & Refund Policy. Provisions that by their nature must continue, including accrued payment obligations, intellectual property protections, liability provisions, and dispute provisions, survive termination.
10 Disclaimers and limits of liability
To the extent permitted by applicable law, the Platform and directory information are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee that listings are complete or current, or that the Platform will be uninterrupted or error free. This does not remove an express paid service obligation or a refund right under our Billing, Cancellation & Refund Policy.
To the extent permitted by applicable law, CleanCloser is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or business opportunities arising from the Platform. Our total liability arising from the Platform or these Terms will not exceed the greater of US$100 or the amount you paid CleanCloser in the 12 months before the event giving rise to the claim. These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not permit us to limit. Nothing in these Terms waives a nonwaivable consumer right.
11 Provider indemnification
To the extent permitted by law, a Provider agrees to indemnify CleanCloser against third-party claims and reasonable resulting costs arising from the Provider's unlawful services, unauthorized listing content, or material misrepresentations. This obligation does not cover claims caused by CleanCloser's own negligence or misconduct. We will notify the Provider of a claim and reasonably cooperate; no settlement may impose an obligation or admission on CleanCloser without our consent.
12 Governing law and disputes
Wyoming law governs these Terms, without regard to conflict of laws principles, except where applicable law requires otherwise. Subject to nonwaivable rights and jurisdictional requirements, disputes will be brought in state or federal courts located in Wyoming, and the parties consent to those courts' jurisdiction. These Terms do not require arbitration or waive class actions. You may contact support@cleancloser.com to seek an informal resolution before filing a claim.
13 Changes and general provisions
We may update these Terms and will post the revised version and effective date. We will notify account holders of material changes through email or a prominent account notice before they take effect. Material changes to an existing paid subscription will apply at renewal or after any consent required by law, with an opportunity to cancel first. Changes do not retroactively alter an accrued claim or payment obligation.
If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. These Terms and the incorporated Billing, Cancellation & Refund Policy are the agreement concerning use of the Platform, unless a separate written agreement expressly states otherwise.
